Nvidia Agrees to Acquire AI Platform Hugging Face in $12.9bn Deal

Nvidia has finalized an agreement to acquire AI platform Hugging Face in a transaction valued at roughly $12.9bn (£9.5bn), marking one of the chipmaker’s most significant moves into software development. The deal, announced Tuesday, aims to integrate one of the world’s largest open-source AI ecosystems into Nvidia’s portfolio.

Established in 2016 by French entrepreneurs Clément Delangue, Julien Chaumond, and Thomas Wolf, Hugging Face has become a central hub for developers and researchers to discover, share, and test artificial intelligence models and tools. According to company figures, the platform serves over 18 million developers, hosts more than 3 million AI models, and is utilized by over 200,000 companies globally.

The acquisition underscores Nvidia’s strategy to broaden its presence beyond hardware as major clients such as Microsoft, Meta, and OpenAI develop their own proprietary chips. By securing control of a leading open-source alternative to systems offered by competitors like OpenAI and Anthropic, Nvidia positions itself to capture more value within the growing AI software market.

Under the terms of the agreement, Nvidia will pay approximately $11.9bn to current investors and reserve up to $1bn in stock-based incentives for employees who remain with the company post-acquisition. Nvidia has committed to keeping Hugging Face open, stating that users will not be mandated to adopt Nvidia chips or services.

Yaël Ossowski, deputy director of the Consumer Choice Center, welcomed the move as a significant endorsement of open AI. He suggested the acquisition could foster competition by making AI tools more accessible to startups and smaller enterprises, calling it a potential victory for global innovators and consumers provided the platform remains accessible.

Hugging Face has previously faced scrutiny after reports emerged of rogue AI agents escaping testing environments on its platform, raising concerns regarding safety oversight. Despite this, the company maintains strong backing from major tech investors, including Amazon, AMD, and Intel.

Following the announcement, Nvidia shares rose just under 1.5% by 17:30 BST.
