Paramount Concedes to State Attorneys General to Save $111 Billion Warner Bros. Deal

Paramount’s leadership has agreed to a series of concessions with a coalition of 12 Democratic state attorneys general, aiming to rescue the media company’s proposed $111 billion acquisition of Warner Bros. Discovery. According to an individual familiar with the arrangement, the settlement addresses legal concerns that had placed the takeover of the larger Hollywood competitor at risk.

The agreement, confirmed by a source who requested anonymity as no public details have been released, requires Paramount to maintain Warner Bros. Studios and Paramount Pictures as distinct operations, at least in the immediate term. To further demonstrate commitment, the companies will jointly release a minimum of 30 films annually; failure to meet this threshold would trigger financial penalties.

Additionally, the deal establishes a governance board designed to protect CNN from corporate interference regarding newsroom decisions, a key demand raised by several of the attorneys general involved in the lawsuit. The matter remains a developing story.
