Character.AI, the generative artificial intelligence startup known for allowing users to design and interact with custom chatbot personas, has officially filed for Chapter 11 bankruptcy protection. The move comes after the company suffered significant brain drain to Google and watched its former chief executive officer depart to join Disney.
According to a blog post, Character.AI cited the filing as a necessary step to facilitate the sale of its business and assets. The company disclosed liabilities ranging between $50 million and $100 million. Disney has stepped in as the “stalking horse” bidder, offering $20 million for select assets and providing transition support through personnel it previously recruited from Character.AI. The company anticipates the sale process will conclude by early December.
Disney’s acquisition bid follows a turbulent history between the media giant and the AI platform. Last year, Disney issued a cease-and-desist order regarding the unauthorized use of its cartoon characters and restricted teenage users from interacting with its chatbots, citing brand protection concerns. Despite this prior hostility, Disney recruited Character.AI’s former CEO, Karandeep Anand, as its chief technology officer later that same year.
The platform, which launched in 2022, enables users to construct detailed personalities with specific names, voices, and backgrounds, which can then be shared within the community or used in predefined scenarios. However, the service faced substantial legal headwinds. Pennsylvania initiated a lawsuit over chatbots impersonating doctors, while Texas authorities investigated the company for allegedly making misleading mental health claims.
The collapse of Character.AI also follows a major talent exodus to Google, which spent approximately $2 billion to hire away key engineers and co-founders Noam Shazeer and Daniel De Freitas.
While Character.AI intends to maintain its services during the restructuring, the company warned that operations could be suspended entirely if a suitable buyer is not secured.
This was bound to happen after Google poached the co-founders. Without its technical brain, Character.AI had no chance against its former rival.
I’m skeptical about the $20 million price tag for all those assets. Given the liabilities, did Disney get a massive bargain here?
It is wild that Disney, who once sent a cease-and-desist, is now buying the company. Talk about the enemy of my enemy becoming my friend.
